1. The contract
Counterlit is a paid shop system offered by DNA BRANDS (HK) LIMITED, Hong Kong. When you start a trial and add a card, you contract with that company, not with Stripe or with the hosting provider. The service is meant for businesses: a shop, salon, spa or similar. If a consumer-protection law still applies to you, the parts of these terms that conflict with rights which cannot be waived do not apply to that extent.
2. What you buy
A subscription for one shop location: the till, bookings, clients, inventory, receipts and Buddy, on the tablets and browsers the product supports. Each additional active shop is a separate subscription at the same monthly price.
3. The 14-day trial
- The trial is 14 days and covers one shop.
- We ask for a card so the subscription can continue if you stay, but we do not charge that card before the trial ends.
- If you cancel during the trial, the card is not charged and the trial stops.
- You can cancel in the product, or by writing to billing@counterlit.com from the owner’s email.
The trial is your chance to decide. Starting the trial, and asking us to open the shop during those 14 days, is your request that we supply the service immediately.
4. Price
After the trial, each shop is USD 99 per month. Prices are shown in US dollars. If a bank converts the charge into another currency, the bank sets that rate and any conversion fee.
The first charge after the trial covers only the days left in that calendar month, including the day the trial ends. After that, the full USD 99 is charged on the 1st of each month for each active shop.
5. How we charge
Payments are taken by Stripe on the card you enter. You authorise DNA BRANDS (HK) LIMITED to charge that card for the trial conversion and for later monthly fees until you cancel. If a charge fails, we may retry it and we may suspend the shop until it is paid. We will tell you by email when we can.
6. Cancelling
You may cancel at any time. Cancellation stops the next renewal. It does not by itself refund a month that has already been paid. When a company is cancelled, we remove that company and its product data, except records we must keep for tax, accounting, disputes or security, as described in the privacy policy.
7. Refunds
- Cancel during the 14-day trial: no charge, so there is nothing to refund.
- Fees already collected are not refunded, including a partial first month, except in the cases below.
- We will refund a charge that was a duplicate, a charge that did not match the price published at the time, or a period in which the service was not provided because of a failure on our side.
- We will also refund where Hong Kong law, or another law that applies to you and cannot be excluded, requires it. Under the Supply of Services (Implied Terms) Ordinance, services must be carried out with reasonable care and skill. Nothing here limits liability for death or personal injury caused by negligence, or for fraud.
Ask for a refund at billing@counterlit.com within 14 days of the charge, with the shop name and the invoice or the card statement date. If we agree, the refund goes back to the same card. Banks often take several working days to show it.
8. Distance sales and cooling-off
Hong Kong does not give a general statutory cooling-off period for online business software. The 14-day trial, with no charge if you cancel in that time, is the withdrawal period we offer. If you are a consumer in the EEA or the United Kingdom, you may have a 14-day right to withdraw from a distance contract. The trial is that period. If you keep the shop after the trial and a charge is taken, you have asked us to continue the service and the fee for the days already supplied is due, subject to any non-waivable right.
9. Fair description
We describe the price, the trial and what the till does on counterlit.com and in the signup window. Those statements are part of the offer. If a page and this policy ever disagree about the price or the trial length, the signup window shown to you at the time you add the card prevails for that purchase, and this policy prevails for refunds and cancellation.
10. Tax
The USD 99 price does not include taxes that a government requires us to add. If we must charge Hong Kong or another tax, it will be shown before the charge where the payment form allows it.
11. Law and disputes
These terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have jurisdiction. If you are a consumer elsewhere, you may also use the mandatory protections and courts of your home country. Please write to billing@counterlit.com first so we can try to resolve it.
